Terms of Use

These Terms of Use apply to the Ohio Association of School Business Officials (OASBO) website, online community, discussion groups, resource libraries, member directories, and related online services (collectively, the “Website”). They establish expectations for professional exchange, use of shared resources, and access to OASBO services.

By accessing or using the Website, you agree to these Terms of Use. If you do not agree, do not use the Website. Additional terms may apply to particular programs, resources, or services as described below.
In these Terms of Use, “you” and “yours” refer to the person using the Website. “OASBO,” “we,” “our,” and “us” refer to the Ohio Association of School Business Officials.

OASBO is a 501(C)6 not-for-profit organization organized under the laws of the State of Ohio. The servers that host this Website are located in the United States, and any personal details you provide us will be processed by OASBO in the United States. For information about the way in which we use, process and share personal information that we may obtain about you, please refer to our Privacy Policy. OASBO expressly excludes any representation or warranty, express or implied, with respect to the information available on this Website. OASBO makes no representation about any third-party websites that may be accessed via links from this Website. By using this Website, you agree that the law of the State of Ohio, without regard to its conflict of laws principles, will govern all matters between you and OASBO with respect to your use of this Website.

Community Rules

Professional Conduct and Purpose

Use the OASBO community to share successes, challenges, constructive feedback, questions, and resources relevant to school business. Treat others respectfully. Focus on the substance of a discussion rather than the person posting. Personal attacks, harassment, discrimination, threats, and misrepresentation of identity, affiliation, or authority are prohibited. All discussion remains subject to the content and conduct restrictions below and OASBO’s moderation authority. Partisan campaigning, promotion of or opposition to political candidates, and political debate unrelated to school business are prohibited. Relevant discussions of legislation, school finance, public policy, and OASBO advocacy are permitted, subject to these Terms of Use.

You agree to comply with all applicable laws in connection with your use of this Website.

Unsuitable Content and Conduct. User shall not engage in conduct or submit to this Website any User Content or other material that is illegal, inaccurate, misleading, misappropriated, infringing, dilutive, defamatory, abusive, profane, obscene, offensive, or otherwise objectionable. User shall not cause damage, embarrassment or adverse publicity to OASBO.

Commercial Solicitation and Business Partners

Do not use community posts, private messages, resource libraries, or member contact information for unsolicited sales pitches, advertising, lead generation, or other commercial solicitation. Business membership, sponsorship, or exhibitor status does not itself authorize promotional use of the community. OASBO may authorize specific promotional activities or designated spaces, subject to the conditions of that authorization. Members sharing peer experiences may share relevant, factual experiences with products or services in response to peer questions, subject to these rules. Disclose any financial or business relationship relevant to a recommendation. Request authorization through the Website’s Contact Us feature before posting promotional content. Fundraising messages and donation solicitations are not permitted unless authorized by OASBO. Service affiliate members, corporate members, and other business representatives may not use community posts or discussion threads to promote or communicate about their own company’s products or services, or post or distribute files detailing those products or services, unless specifically authorized by OASBO. The permission to share peer experiences does not authorize such activity. If a member asks a specific question about a product or service, a representative of its provider may respond directly and privately to that member with information relevant to the request, but may not respond through the discussion thread. This limited permission does not authorize unsolicited sales outreach, mass communications, or use of member information for lead generation.

Confidential and Sensitive Information

Do not post or exchange confidential, privileged, or legally protected information through the Website, including protected student or employee information, personal identifiers, account credentials, banking details, and security-sensitive information. Remove protected information from documents before sharing them, including information in hidden sheets, comments, metadata, and attachments. Except as provided in the Privacy Policy, submissions are treated as non-confidential under the User Content provision below. Member-only access and private messages do not guarantee confidentiality or provide a secure channel for protected information.

Ohio Public Records and Records Retention

Members who work for public offices should be mindful that communications and materials posted or exchanged through the OASBO community may constitute public records under Ohio law, depending on their content and circumstances. Member-only access or use of a personal account does not determine whether a communication is a public record. Use the same care as with work-related email. Follow your public office’s applicable disclosure and records-retention requirements. Removal of a post from the community does not eliminate those obligations; the Website is not a substitute for your office’s records-retention system. OASBO reserves the right to seek its own legal counsel concerning public-records questions or disputes and will comply with orders of a court of competent jurisdiction.

Antitrust and Independent Decisions

Do not use the community to propose, encourage, or facilitate unlawful agreements that restrict competition. Prohibited conduct includes price fixing, bid rigging, market or customer allocation, coordinated boycotts, and unlawful agreements about wages, benefits, or hiring. Do not exchange competitively sensitive nonpublic information about future pricing, bids, compensation, or business strategy in a manner that facilitates such conduct. Make purchasing, employment, and business decisions independently, except as permitted by law. Discussions must not encourage or facilitate an unlawful agreement concerning prices, discounts, or terms or conditions of sale; salaries; profits, profit margins, or cost data; market shares, sales territories, or markets; allocation of customers or territories; or selection, rejection, or termination of customers or suppliers.
These rules do not prohibit lawful cooperative purchasing, authorized shared services, or appropriate discussion of public information and professional practices. Do not assume that information sharing is lawful merely because it occurs through a professional association. If a discussion raises a concern, stop participating in that discussion and notify OASBO through the Contact Us feature.

Member Directories and Contact Information

Member directories and contact information are provided for appropriate professional connections. Do not sell, rent, publish, redistribute, or compile this information into outside mailing lists or databases, or use it for unsolicited solicitation, recruitment campaigns, or mass communications, without OASBO’s prior written authorization. Respect members’ communication preferences. A relevant private response to a member’s specific product or service question, as permitted under Commercial Solicitation and Business Partners, is not unsolicited solicitation. That permission does not authorize compiling or redistributing member contact information.

Discussion Etiquette

Use a clear subject line and post to the most appropriate community. Avoid duplicate posts and unrelated replies. Send personal acknowledgments or individual questions directly to the intended recipient. Use your account settings or contact OASBO for subscription and account assistance. Identify the source and date of shared guidance when practical, and distinguish personal experience from authoritative guidance.

Promotion of Outside Events and Programs

Respect the purpose of the OASBO community. The community is intended to support professional exchange among OASBO members and to connect members with OASBO programs, resources, and services.
Promotion or solicitation of events, conferences, webinars, professional development programs, products, or services offered by other organizations is not permitted unless authorized by OASBO.

Moderation and Enforcement

OASBO may review, edit, move, restrict, or remove content that violates these Terms of Use, including unauthorized promotional content, or otherwise falls outside the purpose of the community. OASBO may request revisions, issue warnings, require posts to be reviewed and approved before publication for a period determined by OASBO, restrict posting privileges, or suspend or terminate Website or community access. OASBO may act without prior notice when appropriate; a warning is not required before content removal or an access restriction. Restrictions on community access do not, by themselves, terminate association membership.
OASBO is not obligated to publish any submission, monitor every post, or resolve disputes between users. To report a concern or request reconsideration of a moderation decision, use the Contact Us feature and identify the content or action involved. OASBO will determine the appropriate response. OASBO will preserve records as required by law, including records of removed content or related activity.

Intellectual Property and Shared Materials

Ownership

All content, text, images, data, information and other material displayed, available or present on this Website (“Content”), including any intellectual property rights in such Content (including without limitation trademarks and copyrights) (hereinafter “Intellectual Property Rights”), are the property of OASBO, its affiliates, its licensors or the designated owners, and are protected by applicable intellectual property laws. You should assume that everything you see or read on this Website is copyrighted unless otherwise noted, and may not be used without our written permission, except as otherwise provided in these Terms of Use.

Authorized and Prohibited Uses

You may download and print copies of the Content only for non-commercial, informational, personal use, without modification or alteration in any way, and only so long as you comply with these Terms of Use and applicable laws. Except as may otherwise be expressly authorized by these Terms of Use, you may not otherwise reproduce, sell, publish, distribute, modify, display, or use any of this Website or the Content without our prior written permission. If this Website permits the e-mailing of certain Content or a link through the use of an “e-mail to a friend” (or similar) icon, you may send that particular Content or link to others by e-mail, as indicated. You agree not to infringe upon any Intellectual Property Rights or remove or modify related proprietary notices contained in this Website or the Content. As an additional permitted use, eligible members may use and adapt shared sample documents for their own district or public office as expressly provided in Reuse of Member Materials below.

User Content and OASBO Rights

Except as provided in our website Privacy Policy, any content that you submit to this Website or OASBO, whether directly or through a third-party website (“User Content”) will be deemed to be non-confidential and may be disclosed through this Website to unknown persons on a worldwide basis without control by OASBO, including for browsing, downloading, printing and other uses by such other persons or entities. You agree not to submit User Content to this Website or OASBO except for User Content that is fully authorized for purposes of this Website and these Terms of Use, and by posting User Content on this Website, you warrant and represent that you own the rights to the User Content or are otherwise authorized to post, distribute, display, perform, transmit, or otherwise distribute User Content. It is your obligation to determine the extent to which User Content you submit is protected by applicable intellectual property laws. You agree that OASBO shall have, and hereby grant to OASBO, a worldwide, royalty-free, perpetual, irrevocable, sub-licenseable, non-exclusive right and license to translate, reproduce, sell, publish, distribute, modify, adapt, display, perform, promote, link to or use, in any form or media, any User Content that you submit to this Website or OASBO. OASBO does not endorse any User Content, or third party product or service that may appear on this Website. Nothing in these Terms of Use shall obligate OASBO to use any User Content you submit or permit the posting of such User Content on this Website. When posting materials created by others, provide proper attribution to the creator and preserve applicable copyright notices. Attribution does not substitute for required permission. By sharing a sample document in the community, you also grant eligible members a nonexclusive, royalty-free license to use and adapt it for their own district or public office, subject to Reuse of Member Materials below. Do not share a sample document unless you have authority to grant both this limited member license and the license granted to OASBO.

Reuse of Member Materials

Eligible members may download, copy, use, and adapt sample documents shared in the community for the internal operations of their own district or public office without obtaining separate permission for each use, unless the posting clearly states a narrower permitted use or applicable third-party rights prohibit it. This permission includes use in the office’s ordinary official processes and disclosures required by law. It does not authorize publication for general reuse, redistribution to other organizations, use in outside training, sale, or other commercial use. Obtain prior written permission from OASBO and the applicable rights holder for those uses unless already expressly authorized or permitted by law. Preserve applicable copyright notices and attribution, identify adaptations when practical, and evaluate each document before use. This limited permission does not extend to other Website Content beyond Authorized and Prohibited Uses. A user’s label or stated restriction does not limit the license granted to OASBO under User Content and OASBO Rights. Do not submit materials if you lack authority to grant the applicable licenses.

OASBO Name and Marks

Do not use OASBO’s name, logo, or other marks in a manner that suggests sponsorship, approval, or affiliation without OASBO’s prior written authorization. Any authorized use is subject to OASBO’s written conditions and applicable law.

Automated Collection and Artificial Intelligence

Without OASBO’s prior written authorization, do not scrape, bulk download, automatically extract, or data mine member directories, member-only Content, User Content, or discussion archives. Do not use those materials to train or develop artificial-intelligence or machine-learning systems, or upload them to third-party tools that permit reuse or disclosure inconsistent with these Terms or the rights holder’s permissions. These restrictions do not prohibit ordinary Website search, accessibility tools, or authorized platform functions. Use of your own materials remains subject to applicable law and any other rights or confidentiality obligations.

Compliance with the Digital Millennium Copyright Act

OASBO respects the rights of all copyright holders and in this regard, we have adopted and implemented a policy that provides for the termination in appropriate circumstances of users of this Website who infringe the rights of copyright holders. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent the following information required by the Digital Millennium Copyright Act, 17 U.S.C.   1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are covered by a single notification, a representative list of such works;
  3. Identification of the Content that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and the information reasonably sufficient to permit OASBO to locate the Content;
  4. Information reasonably sufficient to permit OASBO to contact the complaining party;
  5. A statement that the complaining party has a good faith belief that the use of the Content in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

The inclusion of such a link does not imply endorsement of any site by OASBO or any association with its operators.

Separate Terms and Conditions

From time to time in connection with your use of and/or access to Content contained in certain areas of this Website, it may be necessary for you to consent to policies or terms and conditions in addition to these Terms of Use. Any such terms will not vary or replace these Terms of Use regarding any use of this Website, unless otherwise expressly stated.

Privacy Policy

OASBO’s collection, use, retention, and disclosure of personal information are governed by its Privacy Policy at https://oasbo-ohio.org/privacy-policy (the “Privacy Policy”), which is incorporated into these Terms of Use. Review the available profile and privacy settings before sharing contact information; visibility depends on applicable platform settings and the choices available to you. Member-only access does not guarantee confidentiality. OASBO may compile, retain, and analyze information provided through the Website and Website use information as described in the Privacy Policy. Access to, use, preservation, or disclosure of personal information for legal compliance, enforcement of these Terms, fraud prevention, security, or protection of rights and safety remains subject to the Privacy Policy and applicable law. These Terms do not create additional permissions to disclose personal information beyond that policy.

Dispute Resolution Applicable Law and Forum

With respect to any and all disputes arising out of or in connection with this Website or these Terms of Use (including without limitation the Privacy Policy), OASBO and you agree to negotiate in good faith and undertake reasonable efforts to cooperate with one another in order to achieve a mutually satisfactory resolution.
OASBO has no obligation to become involved in any dispute between a user and any other person. This Website, these Terms of Use and any dispute arising in connection therewith shall be exclusively governed by and construed in accordance with the laws of the State of Ohio without regard to its conflict of law principles. OASBO and you agree that all disputes arising under these Terms of Use shall be resolved by confidential binding arbitration administered by the American Arbitration Association (“AAA”) in Columbus, Ohio or another forum mutually agreed upon by you and OASBO, pursuant to the Commercial Arbitration Rules (“Rules”) of the AAA by a sole arbitrator nominated by agreement of you and OASBO and confirmed in accordance with the Rules. If AAA is not hearing consumer commercial disputes at the time, OASBO may select another arbitral body in its sole discretion. The arbitrator’s award shall be binding and may be entered as a judgment in a court of competent jurisdiction. You agree that OASBO is entitled to obtain preliminary injunctive relief to the extent allowed by law to enforce any of the terms of these Terms of Use pending a final arbitral decision.

Changes to These Terms

These Terms of Use and the Privacy Policy referenced herein constitute the complete agreement between you and OASBO with respect to their subject matter and supersede any prior agreement or communication. These Terms of Use are subject to change from time to time. OASBO will endeavor to post a notice of any changes to these Terms of Use for a period of thirty (30) days following any such modifications. Therefore, you are advised to review these Terms of Use occasionally, or at least every thirty (30) days. Your continued use of this Website subsequent to OASBO’s notice of modification of these Terms of Use shall constitute your acceptance of the modified Terms of Use. If any term or provision of these Terms of Use shall be found to be invalid, illegal or otherwise unenforceable, such finding shall not affect the other terms or provisions of these Terms of Use, or the whole of these Terms of Use, but such term or provision shall be deemed modified to the extent necessary to render such term or provision enforceable, and the rights and obligations of you and OASBO shall be construed and enforced accordingly, preserving to the fullest permissible extent the intent and agreements set forth in these Terms of Use. Your obligations pursuant to these Terms of Use shall survive termination of any use by you of this Website, any Content on this Website, or these Terms of Use.
